1. Agreement

These Terms are an agreement between you and Intellara AI (“Intellara”, “we”, “us”). By using the Service you accept them. If you use the Service for an organization, you confirm that you are authorized to accept these Terms for that organization, and “you” includes it. You must be at least 18 years old. The Service is intended for professional and business use.

If you sign a separate order form or enterprise agreement with us, that document controls where it conflicts with these Terms.

2. The Service

Intellara collects records from official public sources, matches them to the companies and topics you watch, cross-checks them against independent databases, detects changes, and presents them in reports, dashboards, alerts and digests. Each item links to the public record it is based on.

We update data on a schedule (typically nightly), so the Service is not real-time. Some features are early versions and are labeled as such. We may add, change or remove features. If a change materially reduces a paid feature you rely on, you may cancel and receive a prorated refund of prepaid fees for the unused period.

3. Accounts

Give accurate account information and keep it current. Keep your sign-in details secure and tell us promptly at the address below if you suspect unauthorized access. You are responsible for activity under your account. Accounts are for named individuals; don't share sign-ins between people.

4. Plans, billing and cancellation

5. Acceptable use

You agree not to:

6. Your data

“Your data” means the information you put into the Service: your watchlists, company and topic selections, settings, notes, feedback and any description of your own research pipeline. You own your data. You give us permission to use it only to provide, secure, support and improve the Service for you.

Don't put information into the Service that you aren't allowed to share with us, or highly sensitive information such as patient data. The Service is not designed to store protected health information.

7. Public sources and third parties

The Service is built on public records, including ClinicalTrials.gov and PubMed (U.S. National Library of Medicine), bioRxiv and medRxiv, Europe PMC (EMBL-EBI), Crossref, and the U.S. Patent and Trademark Office Open Data Portal. Those records remain subject to their providers' own terms and licenses. Intellara is not affiliated with or endorsed by any of these providers.

Abstracts, full texts and preprints may be protected by copyright or carry their own licenses. The Service shows titles, identifiers, dates and short metadata, and links to the original. Any further reuse of a source's content is governed by that source's license, not by these Terms.

Links to third-party websites are provided for convenience. We are not responsible for their content or availability.

8. Our property and your license

The Service, including its software, design, matching rules, compiled data and report formats, belongs to Intellara and its licensors. While your subscription is active, you may use the Service and share its reports within your organization for your internal business purposes. You may quote short excerpts outside your organization with attribution to Intellara and the cited public sources. Other redistribution needs our written permission.

If you send us feedback or suggestions, we may use them without obligation to you.

9. No professional advice

The Service provides information, not advice. It is not investment, financial, legal, medical, regulatory or patent advice, and nothing in it is a recommendation to buy, sell or hold any security. Our Disclaimer forms part of these Terms.

10. Accuracy and availability

We work to make the Service accurate: every item links to its source, records are cross-checked where a second source exists, and gaps such as partial coverage are flagged. But public records can be wrong, incomplete or delayed, and our company matching can miss or misattribute records. The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We don't guarantee the Service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent the law allows:

These limits do not apply where the law does not allow them, including liability for fraud or for willful misconduct.

12. Indemnity

You will defend and indemnify Intellara against third-party claims arising from your breach of section 5 or from data you put into the Service in breach of section 6, and pay resulting damages and reasonable costs that a court awards or that you agree to in settlement.

13. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these Terms and don't fix the breach within 10 days of our notice, or immediately where needed to prevent harm to the Service, other customers or the public. On termination your right to use the Service ends. You may request an export of your data within 30 days, after which we delete it as described in the Privacy Policy. Sections 6–12, 15 and 16 continue after termination.

14. Changes to these Terms

We may update these Terms. For material changes we will notify account holders by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms; if you don't, you may cancel before then.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice and good-faith discussion for 30 days. Any dispute not resolved that way will be brought exclusively in the state or federal courts located in Collier County, Florida, and both parties consent to their jurisdiction. Either party may bring a qualifying claim in small-claims court.

16. General

These Terms, together with the Privacy Policy, the Disclaimer and any order form, are the entire agreement about the Service. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor in a merger or sale of our business. Neither party is responsible for delays caused by events beyond its reasonable control.
